User Agreement

Customer Regulations:

Cruiseparking.com, Inc. ("Cruiseparking.com" or "we" or "us" or "our") prioritizes the security of our clients ("client" or "you") no matter if they visit our website www.cruiseparking.com or use other associated media platforms (collectively, the "Website") to access services from Cruiseparking.com.

Please be aware that when you use Cruiseparking.com (including its related sites, services, and tools), you automatically agree to the following terms and conditions with Cruiseparking.com, Inc. The following terms govern your access to our services.

Use Contract Details:

The Terms of Use create a legal agreement between you and Cruiseparking.com, Inc. and its affiliated companies (collectively, "we" or "us" or "our") regarding your use of the www.Cruiseparking.com site and any related media channels (collectively, the "Website"). If you don't agree to this Agreement or any future modifications made by Cruiseparking.com, please refrain from using/accessing the Cruiseparking.com services or the website.

Cruiseparking.com Services

Cruiseparking.com operates as a marketplace, providing a platform to advertise onsite parking reservation services. Please note that we do not manage the inventory of resources available to the service providers. Instead, Service Providers must adhere to all federal, state, and local laws, guidelines, regulations, and requirements related to their services, products, marketing, and security procedures.

Both Service Providers and Cruiseparking.com will not be responsible for any theft or damage to a user's car, car products, or personal property. Additionally, any general or personal injury that may occur to customers while on the premises is not the responsibility of Service Providers or Cruiseparking.com.

Purchase and Fee Payment

At Cruiseparking.com, all orders are placed through the online method. Buyers' billing is directly handled by Cruiseparking.com, and the records will show "Cruiseparking.com" as the billing entity. However, please note that Cruiseparking.com is not the actual service provider.

For certain transactions, credit card information will be shared with the Service Providers, who will then directly bill you. During the delivery process, you will be notified if the billing is handled by the Service Provider. In such cases, you hereby authorize Cruiseparking.com to share your credit card details with the Service Provider for verification and processing purposes.

Mode of Payment

Cruiseparking.com accepts all major credit cards, including Visa, MasterCard, American Express, and Discover. Customers can select from the following payment methods. All online transactions on Cruiseparking.com are secured with industry-standard Verisign SSL data encryption, providing 128-bit encryption for added security. To prevent credit card fraud, the billing address you provide must match the billing address on your monthly credit card statement.

Disclaimers regarding Price and Information

Please note that all rates are subject to change. We make every effort to display accurate prices and information for all the services we offer. However, the rates and other details of lots/garages displayed here are provided by our service providers. In the event of an incorrect price or inaccurate information due to typographical error or other errors from our Service Providers, Cruiseparking.com and/or Our Service Provider reserves the right to deny or cancel any request for such services. Regardless of whether the order has been approved and/or the credit card has been charged, Cruiseparking.com and/or the Service Provider reserves the right to decline or cancel any such request. If your credit card has already been charged for the transaction and your request is declined due to improper details provided by the Service Provider, we will promptly issue a refund to your card account for the fee amount. Prices, rates, and inventories are subject to availability as determined by the Service Provider.

Selling Terms and Conditions

Please carefully review the details of the purchase agreement. By entering into this Purchase Agreement, the customer acknowledges and accepts its terms and conditions (unless a separate formal purchasing agreement has been signed with Cruiseparking.com, in which case it will be governed by that separate Agreement).

Relevant Details of the Contract

This Purchase Agreement is a legal arrangement between you (the customer) and Cruiseparking.com. By making a payment, placing an order, or making a purchase on the website, you acknowledge this Purchase Agreement. The terms and conditions of this Purchase Agreement may be modified without advance notice, except that the terms and conditions posted on the website at the time you first place or amend the order will apply to that specific order.

This Purchase Agreement represents the entire Agreement between you and Cruiseparking.com regarding purchasing or selling goods or services on the website. It can only be revised or terminated concerning products or services that have been purchased or sold on the website through a written contract signed by Cruiseparking.com. Electronic documents, including signatures, are considered valid and compliant with the Purchase Agreement.

You consent to receive electronic records accessible through a web browser or email application linked to the internet. If you wish to revoke your consent or receive records in a non-electronic form, you can contact Cruiseparking.com at the address provided below. In case of any discrepancy between the terms and conditions of your purchase order and this Purchase Agreement or any terms and conditions on our invoice, you agree that the provisions of this Purchase Agreement and our invoice will prevail.

Place of Jurisdiction

This Agreement and all transactions under it shall be governed by the laws of the State of California without considering any conflicts of laws. The consumer agrees to the jurisdiction of the federal or state courts located in Santa Clara County, California, for any complaint, claim, or legal proceeding related to this selling agreement.

Legal Disclaimer

Cruiseparking.com explicitly disclaims all guarantees, whether stated or implied, including any guarantee of merchantability or fitness for a specific purpose. This disclaimer does not affect the terms of any manufacturer's warranties, if applicable.

Internet Disclaimer

Internet usage requires access services from an Internet access provider. Please contact your access provider for pricing, terms, and conditions.

Liability Limitations

Cruiseparking.com shall not be liable for any loss of earnings, loss of business, or any indirect or punitive damages, even if it has been notified of the possibility of such damages. It will not be responsible for any claims made by third parties except as expressly provided herein. Additionally, Cruiseparking.com will not be liable for goods or services that are unavailable for use or for any missing or damaged data or software. The customer acknowledges that Cruiseparking.com's liability is limited to the actual dollar amount charged for the transaction(s) under this Agreement.

Arbitration

Any claims, disputes, or conflicts arising from or related to the sale agreement or its interpretation, violation, termination, or validity, including relationships resulting from the sale agreement, shall be subject to arbitration. The arbitration shall take place in Santa Clara, California, and any court with jurisdiction over the claim may decide on the arbitrator(s) award. However, each party shall bear its own costs for any legal representation, investigation, or analysis required for the arbitration process.

Activities Prohibited

You are allowed to access and use the Cruiseparking.com website solely for its intended purpose. The website is meant for personal use only and should not be utilized for any commercial activities unless expressly approved by Cruiseparking.com. The following list includes prohibited practices but is not limited to:

A) Engaging in illegal activities, such as child pornography, trafficking in pornographic content, drug smuggling, gambling, fraud, abuse, stalking, copyright infringement, spamming, or theft of trade secrets.

B) Advertising or inviting others to purchase or sell products or services without approval from Cruiseparking.com.

C) Extracting data or content from the website for creating directories or lists without written permission.

D) Engaging in illegal framing or linking to the website.

E) Unauthorized use of Cruiseparking.com services, including collecting usernames or email addresses for unsolicited emails.

R) Bullying, harassing, insulting, or threatening any Cruiseparking.com staff or agents involved in delivering services to you.

S) Using the website in a manner that does not comply with all relevant laws and regulation

T) Removing copyright or other exclusive rights notices from any content on the website.

Between Users

Any civil proceedings involving Cruiseparking.com arising from or related to this website and its services will be brought exclusively in the relevant federal or state courts located within or having jurisdiction over Santa Clara County, California, subject to the discretion of Cruiseparking.com.

You hereby agree to accept and not challenge or appeal the personal jurisdiction and venue in the courts mentioned above. However, the United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement. Additionally, the Uniform Computer Information Transaction Act (UCITA) does not apply to this Agreement. Any claim, action, or proceeding by you related to the website and/or Cruiseparking.com services (including its use) shall not be initiated more than two (2) years after the cause of action arises.

Cruiseparking.com, Inc. does not have complete control over all the content available on the website or the services offered on it. We are not responsible for any unlawful or objectionable services or content you may come across on the website or in connection with any vendors or contributions. If you are a resident of California, you have the right to waive California Civil Code section 1542, which states: "A general release does not extend to claims that the creditor does not know or suspect to exist in their favor at the time of executing the release, which if known by them must have materially affected their settlement with the debtor."

Compensation

You agree to indemnify, defend, and hold harmless Cruiseparking.com, its affiliates, subsidiaries, and their respective owners, agents, partners, and employees from and against any losses, damages, liabilities, lawsuits, or claims, including reasonable attorneys' fees and expenses, arising from or related to your contributions, the use of Cruiseparking.com services, including but not limited to the use of Cruiseparking.com services. Cruiseparking.com will make reasonable efforts to inform you of any such claim, action, or proceeding subject to indemnification once aware of such developments.

However, Cruiseparking.com reserves the right, at your expense, to assume exclusive defense and control of any matter for which you are required to indemnify Cruiseparking.com. In such cases, you agree to cooperate with Cruiseparking.com's defense of the claim at your expense.

Raffle Competitions

Cruiseparking.com may occasionally hold prize draws that offer winners various prizes. However, please be aware that each sweepstake will have its own specific terms and conditions outlined in the official rules for the prize draw.

Notifications

Any notifications directed to Cruiseparking.com should be sent to [email protected] via email (unless stated otherwise). Updates and communications to users will be sent to the email address provided by the users during the registration process or any other address specified by each party. Please note that all notifications will be considered received 24 hours after the email is sent, except if the sender has been notified that the email address is invalid. Additionally, we may also opt to send notifications through forum posts or regular mail.

United States Export Controls

Software available on this website is subject to export controls by the United States. No software may be downloaded from the website or exported to Cuba, Iraq, Libya, North Korea, Iran, Syria, or any other country embargoed by the US or to any individual listed on the US Treasury Department's list of Specially Designated Nationals or the US Trade Department's Table of Deny Orders. By installing or using the software, you represent and warrant that you are not located in, under the jurisdiction of, or a national or citizen of any such restricted country or listed individual.

Miscellaneous

This Agreement represents the complete Agreement between you and Cruiseparking.com regarding the use of Cruiseparking.com services. It's essential to understand that if Cruiseparking.com fails to enforce any right or provision in this Agreement, it does not mean that the right or provision is waived. Cruiseparking.com retains the right to assign its rights and obligations to others at any time. This Agreement shall be governed to the fullest extent permitted by law. Section titles in this Agreement are provided for convenience only and do not have any legal or contractual effect. Your account and this Agreement may not be transferred to others without our express written consent.

In case any provision or part of a provision in this Agreement is deemed unconstitutional, invalid, or unenforceable, that specific provision or part shall be excluded from this Agreement. However, the remaining provisions will remain valid and enforceable. Cruiseparking.com shall not be held liable for any loss, harm, delay, or failure to act caused by any reason beyond its reasonable control.

Digital Millennium Copyright Act (DMCA) Infringement Notice and Policy

Notifications

If you believe that material available on or through the Cruiseparking.com website infringes on your copyrights, please promptly notify our Copyright Agent through mail, email, or fax ('Notification') with the information listed below. This notification is made in accordance with DMCA 17 USC. Section 512(c)(3). It's important to note that providing incorrect information in the Notice could make you liable for damages under federal law. If you are uncertain whether the content on or connected to the website infringes your copyright, it is advisable to consult a lawyer first. Cruiseparking.com has a procedure to address repeat infringers as necessary. A copy of the Notice you submit may be forwarded to the person who posted or stored the material mentioned in the Notice.

The following information should be included in all notifications:

A) The physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is claimed to have been infringed.

B) Description of the content alleged to be infringing or to be the subject of infringing activity, along with information reasonably sufficient to enable the Company to locate and identify the material.

C) Identification of the copyrighted works alleged to have been infringed, or if multiple copyrighted works on a single online website are involved, a representative list of such works on that website.

D) A statement that the complaining party believes in good faith that the use of the content in the manner complained of is not authorized by the copyright owner, their agent, or the law.

E) Contact information reasonably necessary to allow the Company to reach the complaining party, such as an address, telephone number, and, where applicable, an email address.

F) A statement that the information in the Notice is accurate and, under penalty of perjury, that the requesting party is authorized to act on behalf of the owner of the allegedly infringed exclusive right.

We will also inform the alleged infringer of the DMCA statutory counter-notification procedure listed below, enabling the alleged infringer to respond to your claim and request the restoration of the content.

Counter-Notifications

If you believe that your own copyrighted material has been wrongly removed from the Website and/or Company Services, you can send a written counter-notification ('Counter Notification') to our Designated Copyright Agent in accordance with DMCA 17 USC. § 512(g)(2) and (3). To ensure the accuracy of your Counter Notification under the DMCA, it must include the following:

A) Description of the material that was removed or disabled and its previous location before removal or disabling.

B) A statement that you consent to the jurisdiction of the Federal District Court in which your address is located or, if your address is outside the United States, to any judicial district in which the Company is located.

C) A promise that you will accept service of process from the party who filed the original notification or their representative.

D) A declaration under penalty of perjury that you have a good faith belief that the material in question was removed or disabled as a result of a mistake or misidentification.

E) Your name, address, and phone number.

F) Your physical or electronic signature.

You can submit your Counter Notification to our Copyright Agent by fax, email, or as specified above.

If you send us a valid, written Counter Notification that meets the mentioned requirements, we will reinstate your deleted or disabled material within 10 business days but not later than 14 business days from the date we receive your Counter Notification. The restoration process may be delayed only if our Copyright Agent receives Notice from the party filing the original notification stating that they have filed a legal action to prevent you from engaging in infringing activities related to the material in question. However, please be aware that if you make a material misrepresentation that the disabled or deleted content was removed by mistake or misidentification, you may be liable for damages, including costs and fees. Filing a false counter-notice is considered perjury.
